Welcome to LumEstate! These Terms & Conditions („Terms“) govern your use of the services provided by OHDE MEDIA LLC („we,“ „us,“ or „our“) via our website and the WhatsApp Business API infrastructure. By purchasing credits or submitting images to our service, you agree to be bound by these Terms.

1. Scope and Eligibility

1.1. These Terms apply to all users of LumEstate, including both commercial entities (B2B, such as real estate agents, agencies, and photographers) and individual consumers (B2C).

1.2. By using our service, you confirm that you are at least 18 years of age and possess the legal capacity to enter into a binding agreement.

2. Service Description and Credit System

2.1. LumEstate provides AI-driven image optimization, photo editing, and virtual staging services operated primarily through WhatsApp.

2.2. Our service operates on a prepaid credit system. To request image processing, you must purchase credits in advance. Credits are charged per image based on the type of service requested:

  • 1 Credit: Standard automated photo retouching (e.g., lighting, exposure, sky replacement).

  • 2 Credits: Enhanced retouching requiring custom text instructions beneath the image.

  • 5 Credits: Premium Virtual Staging (furnishing empty spaces, with or without custom styling prompts).

2.3. Credit Expiration: Purchased credits are valid for a period of three (3) years, calculated from the end of the calendar year in which the credits were purchased. After this period, unused credits expire without compensation.

3. Prices, Payment, and Refund Policy

3.1. All prices for credit packages are displayed prior to purchase and are processed securely via our payment provider, Stripe.

3.2. No Payout of Remaining Balance: Credits cannot be exchanged back into cash, transferred to other users, or refunded once purchased, subject to Section 4. Remaining balances will not be paid out.

4. Right of Withdrawal for Consumers (B2C)

4.1. If you are a consumer (B2C) residing within the European Union or the United Kingdom, you generally have a statutory 14-day right of withdrawal from digital purchases.

4.2. Expiry of the Right of Withdrawal: By purchasing credits and explicitly consenting to the immediate provisioning of the digital service during the checkout process, you acknowledge and agree that you lose your right of withdrawal as soon as the credits are credited to your WhatsApp user account. Consequently, unused or partially used credit packages are non-refundable once provisioned with your consent.

5. AI Disclaimer and Limitation of Liability for Image Results

5.1. LumEstate utilizes advanced Artificial Intelligence (Google Gemini API) to modify and stage images. You acknowledge that AI-generated content is inherently unpredictable and may contain visual anomalies, structural inaccuracies, or unrealistic elements.

5.2. Visual Suggestions Only: All edited images and Virtual Staging results are provided strictly as artistic and visual suggestions. We do not guarantee that the generated furniture, decor, or dimensions are structurally accurate, real-world compatible, legally compliant with local building codes, or practically reproducible.

5.3. We assume no liability for any commercial decisions, property valuations, missed sales, or legal disputes resulting from your use or display of the edited images.

6. Technical Availability and Third-Party Dependencies

6.1. LumEstate relies entirely on infrastructure and APIs provided by third-party vendors, including Meta Platforms Ireland Ltd. (WhatsApp), Celonis Inc. (Make.com), Stripe, and Google Ireland Limited (Gemini API).

6.2. We do not guarantee uninterrupted, 100% uptime of the service. We shall not be held liable for any delays, processing failures, data loss, or damages resulting from downtimes, technical API changes, or service interruptions caused by these third-party providers.

7. User Obligations and Image Rights

7.1. By submitting images to LumEstate via WhatsApp, you warrant that you hold all necessary copyrights, usage rights, or explicit permissions from the property owner to modify and process the images.

7.2. You agree not to submit any images that violate third-party rights, contain illegal content, or infringe upon personal privacy laws. You agree to indemnify and hold OHDE MEDIA LLC harmless from any third-party claims arising from a breach of this section.

8. Governing Law and Jurisdiction

8.1. Despite the registration of OHDE MEDIA LLC in New Mexico, USA, these Terms and any disputes arising out of or in connection with them shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

8.2. If you are a commercial entity (B2B), the exclusive place of jurisdiction for all disputes arising from this contract shall be the competent court at the registered location chosen within Germany. For consumers (B2C), statutory legal jurisdictions apply.
